Discovering the Relationship Between the Law and My School Grand Canyon University EDA-555 August 8, 2012 Sitting down to chat with any lawyer proves to be a difficult task unless of course you are paying them. This was the case when attempting to complete this assignment as well, as our school lawyer represents several schools in the area and he was busy working with another school. Instead the questions were asked of our school principal, and our school superintendent over lunch during an in-service day. In every position of leadership one is going to always run into those who disagree. Being a true leader is not a populari ty contest, rather it is making the best decisions in every situation for the betterment of each student and for the school system as a whole. If, as a leader, you always do what you feel is right, and you document everything accordingly using data to drive decisions, and properly apply school policy and procedures in every situation the threat of a lawsuit, while not being diminished, is not anywhere near as stressful. The legal system does not view a large difference between private and public schools. Both are treated essentially the same with the obvious exception of prayer in school, the religious teachings in a private school, the private school not being â€Å"free†, etc. It was the view of the administrators interviewed that the differences between public and private schools is shrinking due to the litigious society we live in. In our society today, some musicians and their music drain and plague the moral and spiritual well-being of the people; therefore, censorship offers a necessary action that we must take to keep the world from becoming a land of decadence. The musicians lives are not examples for the children or the adults. The lyrics of many songs are not suitable for anyone. All types of music need some kind of censorship. Censorship makes a person realize that music is good for the heart. Censorship totally makes people act better, and when thinking better, this sustains a better society. The lives of some musicians contain types of anarchy and self-gratification. Answer: Legal Liability in Partnership: In this we have to discuss the legal liability of all three partners of partnership business that is Ben, Ann and Mary in the context of the loan taken from Shady Deals, the new printing press, and the contract with XYZ Ltd. Partnership Act 1890 regulates the partnership provisions in UK. Provision 5 of Partnership Act 1890 states how partners can bind the firm and other partners from their actions. As per this Section every partner acts as an agent for both for firm as well for his other partners for regulating the business carried on by partnership. Any act done by partner related to business of the firm has power to bind the firm and partners of the firm. There are some exceptions to this general rule which state that an act done by partner does not bind the firm and other partners if authority is not given to the partner to act on behalf of the firm for some specific case, and third person with whom such partner is dealing knows that partner has no authority, or that third person does not believe him to be a partner (Partnership Act, 1890). Provision 6 of Partnership Act 1890 states that all partners of the firm are bound by the acts which are done to carry on the business of the firm. As per this provision any act or instrument which directly relates with the business carried on by the partnership and done or executed in the name of the firm or if any intention is showed by that action or instrument to bind the firm by any other person who is authorized and no matter whether he is partner of the firm or not, it is binding on all the partners of the firm as well as firm. It must be noted that this section does not affect any general rule of law which relates with the execution of deeds or any negotiable instrument (Partnership Act, 1890). Provision 9 of Partnership Act 1890 states the liability of the partners. As per this provision every partner of the firm is jointly liable for all debts and obligations with other partners of the firm, and in case of Scotland partner is also severally liable for all debts and obligations of the firm which was incurred at that time when individual is partner of the firm. In case of death of the partner his estates are also severally liable for those debts and obligations incurred at the time when he is the partner of the firm so far as they remain unsatisfied. In case of England or Ireland, to the prior payment of partner separate debts (Partnership Act, 1890). Provision 17 of Partnership Act 1890, states the liabilities of incoming and outgoing partners of the firm. As per this provision any person who admits as a partner in an existing firm does not become liable towards the creditors of the firm for any ac which was done before he became a partner of the firm. Any partner of the firm who retires from a firm does not hereby cease to be liable from the debts and obligations of the firm which are incurred before his retirement. Any retiring partner may be discharged from any existing liabilities or obligations by an agreement by himself or members of the firm or creditors, and this agreement can be treated as new constitution between the members of the firm and creditors. We can understand this with the help of the case law HURST V BRYK AND OTHERS: HL 30 MAR 2000. In this case, Hob house L.J. pointed out [1999] Ch. 1, 26B stated that liability of Mr. Hurst for the purpose of rent is indirect, and like any other liability of the firm this liability is also the joint liability of the partners of the firm and every partner is liable to pay it. Court consider the Section 9 of the partnership Act 1890 in which partners are jointly liable for the debts of the firm and not severally. For the purpose of liability debt must be incurred when they are partners of the firm (UK parliament, n.d.). Loan taken by Shady Deals: In the present case, from 1st January 2016 Ben and Ann enter into partnership as printers, and as per the partnership agreement executed between the two, any loan taken for the purpose of carrying on the business of the firm or on the name of the firm must be agreed by both partners. On 1 February 2016, Ann has taken a loan from Shady Deals for amount 100,000 for the purpose of partnership at 50% rate of interest. She pays deposit to buy new printing press from this money without informing Ben. In this case, Ben and Ann both are liable towards Shady Deals for the amount of 100,000 because as per section 6 of the Act states partners are bound by the acts which are done on behalf of the firm and section 9 of the Act defines that every partner of the firm is jointly liable for all debts and obligations with other partners of the firm. In this case Ben gives notice on 1st May 2016 to Ann and Mary, and as per Section 17 any partner of the firm who retires from a firm does not hereby cease to be liable from the debts and obligations of the firm which are incurred before his retirement. Therefore Ben is liable towards the Shady deals. Section 17 of the Act also states that any person who admits as a partner in an existing firm does not become liable towards the creditors of the firm for any ac which was done before he became a partner of the firm, and in this case Mary joined the firm on 1st March 2016. Therefore Mary is not liable towards the shady Deals because this loan is taken before the admission of Mary as a partner in the firm. The new printing press: In the present case, Ann purchase printing press on Credit without informing Ben and Section 5 states that Acts done by every partner for the purpose of carrying on the business of the firm has power to bind the firm and partners of the firm. There are some exceptions to this rule which state that an act done by partner does not bind the firm and partners of the firm if partner has no authority to act on behalf of the firm, and in this case Ann has no authority to done any act on behalf of the firm. In this case Ann act without the authority therefore her act does not bind the other partners of the firm as well as firm. Ben and Mary are not liable for new printing press. Contract with Xyz ltd: In this case, Ben cannot deny his liability towards XYZ as per section 17 which states that any partner of the firm who retires from a firm does not hereby cease to be liable from the debts and obligations of the firm which are incurred before his retirement. Therefore Ben is liable towards the XYZ Ltd. Ben gives notice on 1st May 2016 to Ann and Mary therefore he is liable on for the amount which was due from 1st February 2016 to 30th April 2016. Ann is liable for complete amount and Mary is liable for the debt which was incurred between 1st March 2016 to till date and not for any amount which was due before 1st March 2016. Private Limited Company in UK legal Liability of members in Private Limited Company: In UK, private Limited Company is that company which is limited by shares, and this company cannot trade their shares in general public. This company is also known as Limited Company, and this company is most common type of company which is incorporated in UK (UK companies limited, n.d.). Section 3 of the companies Act 2006 defines that any Company is a limited company if constitution of the company limit the members liability. Company can be of two types either limited by shares or guarantee and in case of Private Limited Company is limited by shares. Company limited by shares means when members liability is limited to that much amount which is not paid by the members on the shares held by them. In case, if liability of the members is not limited then company is fall under the category of unlimited company (Companies Act, 2006). Section 4 of the Companies Act 2006, states that a Private Company is any Company which is not a public company (Companies Act, 2006). Section 59 of the Companies Act 2006 states, that any company which is Private Limited must use limited or ltd. in the end of their company name, and in case of Welsh Company its name may be end with cyfyngedig or cyf (Companies Act, 2006). There are some specific companies which are exempt from this requirement, and these companies are stated in Section 60 of the Act (Companies Act, 2006). Private limited Company is a more complex business structure as compared to sole trader and partnership. Any company which is limited by shares is mostly known as Private Limited Company. Company limited by shares states that liability of members is limited up to their capital investment. Members cannot offer shares of private limited companies to general public and these shares cannot be traded on stock exchange. Following are some characteristics of private limited company: Private Limited Company can be incorporated with one member only. Liability of members in this company is limited to the amount which I not paid on shares by members. In private limited company there is facility to issue shares to the members of the company, but shares cannot be issued to public. This structure of business is credible and trusted and with this form of structure international businesses are familiar. Feudalism was the structure that governed medieval society and came to represent this time period. The church became the universal symbol of medieval unity. Toward the end of the medieval period, however, town life and large-scale trade and commerce were revived. Great changes took place in the church fostering a new era and change. Feudalism was a system of government that provided the structure for the political, social, and economic aspects of medieval civilization. It consisted of contracts between members of the nobility and less powerful nobles who served as their vassals. Economically it was a contract between the serfs who farmed that land and the nobles who owned it. Feudalism was very complex and confusing in some ways, but it could also be looked at as very simple. It was constructed in a pyramid or chess board-like form. K ings were at the top although they did not have much power, lords and vassals followed the king and had control of the lesser nobles. The serfs were at the base of the pyramid. A manor, otherwise known as the lords estate, was where everyone lived and worked. In exchange for a place to live, food, and mainly protection, the serfs farmed the land. Agriculture was the foundation of feudalism, where land and food was used to barter for other items. There were different taxes and positions of distinct people on the manor. This illustrates the complexity of feudal life during the medieval ages. If you look at it as what the duties were of each specific class you see the simplicity of feudalism. Each member of medieval society had its own particular tasks to perform. The serfs preformed the most labor-intensive tasks and often did the same thing everyday. The knights protected the manor and the lords were responsible for taking care of everyone on their manor. The feudal system could be c ompared to a modern corporation. The serfs could be looked at as the workers, the lords as management, the knights to the security, and the king would be the CEO of the company. Feudalism was complex in its organization and simple it its implementation. During most of the medieval time period the church was the center of society and was the law of the land. The church regulated business practices, had the power to tax, controlled all people through the power of excommunication and had influence on the aesthetic aspects of life. The church exemplified both the simplicity and complexity of medieval life. Monks led a very simple life. Their days were spent working hard, studying, and praying. The church wanted to make life simpler by standardizing the rite, calendar, and monastic rule. It was more complex then simple however. The church held a great deal of power that was often in conflict with the monarch. The head of the church, the pope, spent much of his time in Rome while attempti ng to govern the rest of Europe. It was difficult to govern such a large geographical area while residing in a city that was not centrally located. In A.D. 1377, Pope Gregory XI left Avignon and returned to Rome. This was known as the great schism and it developed great entanglement in the popes standing in medieval society. The crusades, while increasing the status of the pope, also increased the power of the monarchs over the nobles. Feudalism was broken down and the power the church was illustrated in the crusades. Certain aspects of the church tried to simplify life while other things only made it more complex. Population growth contributed to the migration of people from the manor to the town, which was the base of complexity in the later stage of the Middle Ages. A self-sufficient manor sometimes was the beginning of a town where people came to form a complex web of commerce and trade. Products were bought with money rather then used to barter for other necessities such as in the earlier stage of the Middle Ages. Also the eyes of the squid are the largest found in the animal kingdom. The size of the eye is about the same as a human head. The reason for them having huge eyes is because they live in the ocean deep, where little sunlight makes it. Therefore large eyes would held drastically to help find food. The mouth of the squid contains a giant beak. The beak serves as teeth for the squid. The squid must eat constantly to keep up with its rapid growth. The arms of the squid ar e comparably as long as an anaconda. Located on the arms are hundreds of suckers along with teeth around the suckers. Finally the longest part of Architeuthis, are its tentacles. They serve as arms to pull in prey to the arms, which squeeze the prey so; the squid can tear up its prey with the beak. The results of this technique matched those of the questionnaires to a great margin as it recognized my weakness in the application of creative thinking and the solution of my problems. The last step that I took was the completion of a Strengths Weaknesses Opportunities and Threat analysis (SWOT). â€Å"This SWOT analysis is very effective in establishing the development plan to an optimum manner† (Furnham, 2010, 183). The S WOT analysis just like the other two techniques that I had put into use revealed that I was weak when it comes to my creative. I was found to poorly relate with people when asked questions that required me to think to a larger extent. My strong point was noted to be the point where I have the general thinking ability. â€Å"This is relative as many human beings tend to bear greater general thinking ability than creative ability† (Sandler, 2009, 67). My Opportunities are well defined in that I can improve in my creative thinking category by paying more attention. My threat on the other hand is if my general thinking capacity exceeds my creative thinking one. My action plan for this problem involves the sieving of outside ideas. Destiny in Madame Bovary      Ã‚   Destiny: the seemingly inevitable succession of events.1   Is this definition true, or do we, as people in real life or characters in novels, control our own destiny? Gustave Flaubert's Madame Bovary exemplifies how we hold destiny in our own hands, molding it with the actions we take and the choices we make. Flaubert uses Emma Bovary, the main character of his novel, to demonstrate this. Throughout her life, Emma makes many decisions, each one of them affecting her fate and by analyzing these decisions one could see from the beginning that Emma is destined to suffer. However, one can also pinpoint such decisions making events as her marriage, her daughter's birth, her adulterous relationship with Leon and her taking the poison, as times when, if she had made a different decision, her life would not have ended as tragically.      Ã‚  Ã‚  Ã‚  Ã‚   When we first meet Emma, the future Madame Bovary, we perceive her as being a woman who is refined perhaps a bit more than the average peasant girl living on a farm. We conclude this because she attended a boarding school where she was taught "dancing, geography, needlework and piano." (p.15) Charles, on the other hand, gives her more credit than she deserves. He regards her as well very educated, sophisticated, sensitive and loving, with the last characteristic being the one she lacks most. Soon after Emma marries Charles we see her unhappiness, and we are faced with a dilemma, why did she marry him? There are numerous possible answers to this, but the end conclusion is the same: if she had not married him it would have been better for both of them. Emma would not have been so miserable and depressed throughout her life and Charles would have found someone who would return his love and who would appreciate him. Throughout the novel Emma never expresses her appreciation for her husband. On the contrary, she often expresses her loathing for him - "Charles never seemed so disagreeable to her, his fingers never seemed so blunt, his mind so dull of his manners so crude--." My own beliefs about early childhood education are based upon the knowledge that children’s growth is developmental. It seems very clear to me that a high quality early childhood program must provide a safe and nurturing environment which promotes a broad spectrum of support for the child’s physical, social, emotional, and cognitive development. I strongly agree with the tenets of the National Association for the Education of Young children–that high quality, developmentally appropriate programs should be available to all children (Bredekamp & Rosegrant, 1992, p. 7). Children under the age of eight have enormous potential for growth and achievement, and it is my belief that they have rights to fulfill their possibilities. A separate statement of the NAEYC divides the concept of appropriateness into two aspects–age appropriateness and individual appropriateness (Bredekamp, 1987, p. 2). This statement coincides with my belief that children are unique individuals who may or may not reflect the usual characteristics of other children of their same age. Furthermore, I believe that a developmentally appropriate curriculum for young children is correctly tailored to the specifics of each age group. Different ages have different needs, interests, and developmental tasks, and the curriculum should reflect those variations. The most effective early childhood curriculum offers creative expression, social and emotional interaction, child-adult communication, child-child communication, physical expression, knowledge acquisition, reasoning practice, risk-taking, and personal autonomy. Early childhood learning happens through play. In this case, play is a serious matter, although it is quite fun to all involved. Children learn by doing and actively participating. When given the opportunity to explore, children flourish. They experiment, make choices, achieve strength and a sense of belonging as an effective individual within the context of a supportive, safe group. It is my belief that early childhood learning must happen in an integrated manner. Children of this age are too young for rigidly separated subject matter, and the skillful teacher of young children easily integrates the physical, emotional, social, creative, and cognitive areas of early learning. Role of Child as a Learner Johann Pestalozzi and Froebel, two of the earliest professionals in early childhood education, championed the development of the quality of early childhood theory and practice. Pestalozzi contended that young children learn most effectively by doing, by playing, and by interacting with the environment–the physical world and other children (McCarthy & Houston, 1980, p. 4). Early, effective learning happens best in a mixed age group, multi-cultural settings,  Froebel, like Pestalozzi, believed that play is of paramount importance in the development of the child, and that the emotional quality of the child’s life (relationship with parents and other significant people) profoundly permeates the quality of the child’s life (McCarthy & Houston, 1980, p. 6). Pestalozzi did not particularly formalize his theories and methods, but he had a very good intuitive grasp of the necessity for language development, nurturing environments, and healthy relationships for children as a springboard for optimum learning. The child as a learner has cognitive needs, and these vary according to the age of the child. Piaget became famous for his work in the cognitive domain, and his guidelines of pre-operational thought to more sophisticated abstract thinking are useful for teachers who wish to be careful about not expecting too much from children who are operating at a lower cognitive level (DeVries & Kohlberg, 1987, p. 54). His work was rather theoretical, and others (principally Kamii and DeVries) have expanded Piaget’s theory to widen its practical usefulness in early childhood classrooms. The young child learns from the motivation of a need to know, and most early learning takes place in the context of the home and relationship with parents and other family members. Lev Semenovich Vygotsky, one of the earliest workers in the area of developmental psychology and psychopathology, believed that children’s learning happens within the framework of the child’s activities and is greatly influenced by the society and values of the persons near the child. The entire field of child development then consists of â€Å"an endless stream of dialectical conflicts and resolutions, with the resolutions then internalized to form the child’s increasingly sophisticated physical and psychological knowledge† (Thomas, 1992, p. 322). John Dewey’s progressive education movement greatly affected thinking and practice for teachers desiring to arrange an appropriate environment for young learners. Dewey was one of the most influential educational philosophers in the United States in the early 1900’s and his influence is still felt in the 1990’s (McCarthy & Houston, 1980, p.6). Dewey and other forward-thinking professionals of his time believed that learning should be based upon the children’s interests and that children should be actively involved in their education. Before Dewey’s time, most classroom activity consisted of teachers instructing passive, obedient listeners. Dewey’s work provided a solid philosophical basis for early childhood educators who desire to integrate subject matter into whatever the children are actively involved with at the moment. Dewey contended that any kind of life experience is valuable for learning. Dewey was humanistic in his orientation, and his work spoke to the importance of human interest, value, and dignity (McCarthy & Houston, 1980, p. 8). Abraham Maslow was one of the first psychologists to emphasize the importance of various needs being met before other, higher needs come into focus. He placed the physical needs at the bottom of his needs hierarchy, followed by the need for love and belonging. Physically, children at young ages grow and change dramatically from year to year, and the alert, educated teacher will firmly grasp the necessity of a balanced program of large muscle activity, small muscle play, outdoor opportunities for expression of vigorous excess energy, and small motor expressive activity (Bredekamp, 1987, p. 56). Psychologically, children must feel safe before they are able to explore and learn. Children learn through social interaction with adults and other children, and their learning begins with awareness, moving through cycles of exploration, questioning, and application. Vygotsky viewed each child’s learning in terms of that child’s own ontogenetic development. Each experience of the child comes about as a result of the child’s prior experiences of problem-solving and problem resolution (Thomas, 1992, p. 323). Mitchell, a student of John Dewey, also emphasized the necessity of learning within the context of the group. She believed that education for a democratic society begins at a very young age and she placed great importance on young children learning to cooperate and operate within a group (McCarthy & Houston, 1980, p. 9). Carl Jung did a great deal of research and writing in the areas of variation of personality types, and his concepts lead us to believe that some individuals do their best work completely alone, even at a very young age. Carl Rogers also wrote about the importance of the individual contemplative experience. Like Maslow, Rogers as a humanistic psychologist believed in the importance of the human, individual aspect of learning. He saw learning as a change in self-organization. These learnings may be threatening and happen best in a psychologically safe, supportive environment (Rogers, 1969, p. 159). Although Rogers’ work primarily applied to the therapeutic counseling situation, it has great application to anyone dedicated to assisting others learn more about themselves. Role of the Teacher in the Learning Process Carl Rogers also had definite views on the nature of learning and the role of the teacher. He said that people learn by doing and by activities which involve the whole person (Rogers, 1969, p. 162). He contended that the most useful learning is the learning of the process of learning so that practical problems of living in a changing society may find successful solutions. According to Rogers and others who have followed similar philosophies, teachers are guides and facilitators. They set a creative, stimulating, supportive environment which enhances the child’s natural curiosity about life around him. The astute early childhood educator provides a variety of activities, objects, events, materials and people which will assist the children in channelling their innate drive to learn. The best teachers are current in the understandings of fads and characters that appeal to young children–television shows, favorite foods, clothing, and stories that are modern. Young children tune out adults who simply do not understand current culture. In this way, responsible teachers bring multicultural awareness into the classroom as well as information and materials relevant to their own ethnic background. Mixed classrooms provide an excellent opportunity to teach trust, respect, pride, appreciation of differences, and orderly group problem-solving (McCracken, 1993, p. 55). The teacher sets the tone for self acceptance and the acceptance of others. The effective early childhood teacher is an active learner, regardless of her own age, and this type of professional engages children in active participation with materials that are genuinely interesting to the children. This type of adult extends the child’s learning with skillful questioning and acceptance of error through experimentation. The well-versed teacher understands the various levels of cognitive learning, Piaget’s theories, and Blooms Taxonomy so that children are guided and encouraged, but never forced into an intellectual level that is not appropriate. Responsible early childhood teachers respect the individual styles of the students at all times, as well as the various cultures from which they originate. The emotional tone in the best early childhood environments is one of warmth, high self-esteem, and safety. Creative expression is welcomed, even if the forms prove to be highly unusual. Mitchell advocated creative expression of the whole child, through conversation, art, music, dance, and story-telling (McCarthy & Houston, 1980, p. 9). Cooperative learning and family involvement provide rich resources for respect among individuals and groups of a variety of different cultures. Skillful teachers in multicultural settings will recognize those values which must be basic (respect for the human body and rules for group interaction) and encourage the expression of the varieties and nuances specific to the individual ethnic group (McCracken, 1993, p. 65). Role of Peers in Learning The National Association for the Education of Young Children strongly advocates the guidance of social-emotional development in the classroom. Teachers have the responsibility for positive modeling, encouraging expected behavior, redirecting inappropriate actions, and setting clear limits. With this type of skilled teaching, children learn the social skills of cooperation, helping, negotiation, and verbal communication. In order for these important social skills to happen, teachers must depart from the traditional modes of instructing, placing children at individual desks, and spending a great deal of time as referee or punisher (Bredekamp, 1987, p. 55). CLASSROOM PRACTICES It is evident from the previous writing that effective teaching requires the logical, ethical translation of teaching philosophy into classroom implementation. Most importantly, all activities for young children must be developmentally appropriate to the age (Bredekamp & Rosegrant, 1992). This is true across the board in every subject matter and in every aspect of the child’s being–physical, emotional, social, cognitive, and spiritual. SUMMARY/CONCLUSION In order to be an effective early childhood teacher, I must know my own philosophy, limitations, prejudices, and strengths. In general, I prefer five-year olds, and honestly, I am more comfortable with students of this age who are from my own cultural background. I lean philosophically towards the concepts of Pestalozzi and Froebel as well as the humanistic psychologists who followed in this country. You won’t be penalized for guessing like you would if you were taking the old SAT test. For the record, the Redesigned SAT exam, which was first administered in March 2016, doesnt penalize for wrong answers anymore, either. Use POE Before Guessing POE is process of elimination. Each question will have at least one answer that’s way out there. Physically cross off that answer so you won’t be tempted to use it, and you’ll up your odds of guessing correctly. Then go back and see if you can cross off at least one more. Start Easy Answer all of the easy questions first, then move on to the difficult ones. The longer, more difficult questions arent worth any more points than the easier questions. So get all the points you can as fast as you can. Section 176 Of Companies Act 1965 Essay In Malaysia companies Act 1965 (CA), is one of the vital statutes which govern and regulate the formation and operation of a company. All the sections in this statute govern each and every part of company governance. In this case section 176 of Companies Act plays a very important role on arrangements and reconstruction of a company when the company heavily burdened with debt. Financial crisis is the most dangerous and a serious disadvantage for a company, in such situations companies normally will use this provision to escape and avoid liabilities against their creditors. This section allows the company to make arrangement and reconstruction where they can negotiate with the other parties such as creditors regarding the debt they owe. Section 176(5) of CA, must be read together with section 176 (3) of CA, where this section stress that the order made under subsection (3) is not valid until a copy of the said order is given to the registrar and only after the order is lodged, the said order will carry a binding effect from the date of the order lodgment. On the other hand, if the court find is reasonable than the court may determine any earlier date as specified in the order. This section basically talks about the date and effectiveness of the notice which been agreed by members and creditors as per subsection (3) of this provision.1 According to subsection (6), a copy of the order which made under subsection (3), must be put together or annexed with every single copy of the company’s memorandum which is issued after the order made under subsection (3).2 In the event where the company does not have a memorandum, than the order should be annexed to all instruments constituting or defining the constitution of the company. This is generally to give knowledge to a third party about the agreement between the company and the members or creditors. In this case the court may and have power to determine the period of time where the company shall comply to subsection (6). This can be seen in subsection (7) of the same provision.3 Any company fail to follow subsection (6) will be guilty of an offence against subsection (9) of the same provision where penalty of RM 2,000.00 will be imposed.4 Section 176 (10) of CA, govern the power of court to restrain proceedings.5 Here in this subsection, when there is no resolution or arrangement is made by members and creditors with company, the court have power to restrain further  proceedings in any action against the company. There are certain things the company has to do once the company obtains such order from the court. First, the company shall lodge a copy to Suruhanjaya Syarikat Malaysia (SSM). Second, the company should publish the obtained order in newspapers so that all the members and creditors of the company can know about the restrain order. Subsection (10A) says that the court may grant the restrain order for a period of not more than 90 days but there are four situations where the courts can extent the period of the restrain order for good reason. Firstly, the court must be satisfied that there is a proposal for compromise or arrangement between the company and the creditors and the creditor who representing this must hold one half of the value of all creditors which is basically 50 percent. Secondly, the court must feel that the restraining order is important for the company and the creditors to make arrangements or scheme of compromise for the approval of the creditors. Thirdly, a statement in the prescribed form must be made before three days before of the application of the order. Fourthly, the court must approve a nominated person among the creditors to act as a director of the company. These four things must be satisfied by the court for the court to give extension of time for the restrain order.6 In the case of PECD Bhd Anor v. Merino-ODD Sdn Bhd Ors the court held that, for the court to grant the extension of time more than 90 days, the company should and must follow the entire four things which stated in subsection (10A) of section 176.7 About the good reasons, Justice Vincent Ng have stated that the word good reason in section 176(10A) of CA, refers to the applicants’ bona fide intention and action to make arrangement or scheme of compromise in the case of Metroplex Bhd Ors V Morgan Stanley Emerging Markets Inc.8 Section 176 on the CA is actually a sealed but not a sword. The intention of section 176 CA is actually to help companies which face some serious financial problems and debts to the creditors. This provision is must be used by the companies to prevent bankruptcy and as a chance to settle the debts to the creditors. However, some companies may misuse this section for their own enjoyment or benefit which was not and never the intention of parliament for enacting this provision. When companies start to misuse this provision, the objective of this provision is misinterpretated. This  misinterpretation can be said as one of the reason for financial crisis in 1997. Some companies may use these provisions to cheat the creditors of the company; in this case the improper usage of this section may lead to injustice to creditors. As a conclusion, section 176 of CA is very important provision which should be interpreted as per the original intention of the enactment. This provision is very helpful for the companies in financial difficulties and it will provide room for the companies to run their business and gain profit to overcome the debts. This provision also does not violate the rights of the creditors where by using this provision the company cannot escape the debt but only can obtain some time extension to repay it. This section must be used in a good manner so that the company and also the creditors do not held in injustice.

When Andy was born I was the happiest woman on Earth. When I saw his beautiful face and his tiny body I cried, I will never forget that moment. We stayed in the hospital for three days. That first night back from the hospital Andy didn’t do anything but cry all night long. I did not know what to do, this was my first child, and I didn’t know how to calm him down. I called the Doctor and he explained to me that this was the normal behavior for a first born child, and he just needed to adjust to the new environment. I would give Andy his milk, change his diaper, hold him, sing to him, but nothing would stop Andy’s crying. We didn’t much sleep. That week my husband had to work so I had to deal with Andy by myself, which was frustrating. Finally after about a week Andy gave up some. His dad couldn’t even get close to him because he would start crying again, because Andy couldn’t be held or fed by anyone but me. I had to spend every minute of the day with him to the point that I had to put a mattress in his room so I could get some sleep. I slept in his room for a whole year. There weren’t a lot of changes in Andy’s behavior during that year. The Doctor didn’t know what was wrong with him, and I didn’t know what I was going to do. Taking care of Andy was a full time job for me. Ever since Andy was born my whole life style changed. My husband, Jack, started working long hours because he didn’t want to stay at home and deal with Andy. I couldn’t go out by myself or with my friends anymore. I had to take Andy with me everywhere I went. Basically, I didn’t have a social life anymore. My relationship with my husband was also going down the drain because we never spent any quality time together. My whole life was a big mess at that Cabarcas 2 point, but whenever I saw Andy’s face he made my heart smile. Andy was a year old and he didn’t talk much I got worried, but the Doctor told me to wait a few more months because boy’s take a little bit longer than girls to start talking, so I did. In despite of all the frustration and despair I always showed Andy a lot of love. My husband also realized that he was being selfish by leaving all the responsibility to me. He took some responsibility upon himself to take care of Andy so he could get closer to him. Andy was very aggressive sometimes and whenever his dad tried to touch him, he would get away from his dad and start run... ...ee and a half years. In the near future I want Andy to go to a specialized school for where he could learned more that what he already now until now. THE END I chose this disability because I have a friend who has an autistic child and I babysit for her sometimes. This child is a wonderful child I baby-sit him and his sister and the are so cute together I really love these kids. I don’t charge their mom any money to take care of them; I just like to spend time with them. Al l this kid likes is to go outside and play, and when he’s tired he just comes to me, takes my hand and shows me what he wants. He is talking a lot more now that what he did a year ago. He is a child that I admire because he has come such a long way and has overcome many obstacles. I really liked writing this Cabarcas 5 paper because I never put my self in that situation and it isn’t easy at all to deal with a disable child everyday of your life. That is a challenge that I don’t know if I’m ready to take. I was afraid to write this paper at the beginning because I was afraid that this could happen to me, but I leave everything in the hands of God. I say this because I’m pregnant now and anything could happen.

Tooth and Claw

â€Å"Disguises† Every character and their relationships between them in â€Å"Tooth and Claw† by T. Coraghessan Boyle, disguise themselves in many ways, both consciously and unconsciously, all for different purposes. The author introduces us to four major characters in this story that all interact with each other and have some sort of mask over themselves hiding their true identities and motives. The main character James Turner Jr. as recently moved to California â€Å"So that I could inject a little excitement into my life and mingle with all the college students in the bars†¦Ã¢â‚¬  he lives by himself in an apartment which his aunt pays for even though he has a full time job. This apartment is extremely messy and unorganized. It seems to me that James is not living up to his full potential, he is running away and maybe even hiding from something the apartment is perfect example of just that. James has a full time job but was recently told to take some time off and now he does not know what to do with his free time. James is drawn to a bar named â€Å"Daggets,† â€Å"Daggets is the only place I feel comfortable. And Why? Precicely because it was filled with old men drinking themselves into oblivion. It made me think of home. Or feel at home, anyway. † James has moved halfway across the country to â€Å"Mingle with the college students† yet he frequently visits a bar that is surrounded with â€Å"old men. † He has been eyeing a waitress at â€Å"Daggets† named Daria, but â€Å"hadn’t worked up the nerve to say more than hello and good-bye to her. â€Å"Daggets† may serve as another mask that James is hiding beneath, it reminds him of his father (who died sixth months earlier) and he can also relate to Daria because of how close in age they are. A mysterious man enters the bar named â€Å"Ludwig† who begins to show falsehoods right from the start. He begins to flirt with Daria and orders two raw eggs from her, everyone believes he is going t o eat them but he does not. After James has had a few drinks Ludwig convinces James to play him in a game of dice but doesn’t tell him what they are playing for. Ludwig surprises everyone and brings in a large cage with an African wild cat nside it, to everyone’s surprise this is what they will be playing for. James doesn’t have the courage to back down and â€Å"I couldn’t back out without feeling the shame rise to my face—and there was Daria to consider, because she was watching me, too. † It seems as though Ludwig sort of a con artist, he brings an exotic animal that he wants to get rid of to a bar where almost every person in there is judgment impaired. This was Ludwig’s plan, go to a bar, convince some drunk people to play a game, and dump this animal on them and leave. James is intoxicated enough to fall right into his plan, not knowing what hit him until it was too late. James wins the game of dice, winning the cat and immediately after Ludwig disappears and James is trying to figure out what has just happened. Daria witnesses this and immediately shows interest, excitement, and curiosity. â€Å"Daria rose and came to me with a look of wonder. ‘Don’t do a thing till I get off, O. K.? ’ and in her favor she took hold of my arm. ‘I get off at nine, so you wait, O. K.? ’† Daria is falsely identifying herself to James (unconsciously or consciously) she begins to lead him on. James believes she is interested in him but she is really interested, excited and curious about the cat and the moment, she is in for the ride. Daria has her own motives, it seems she does not really care about James. They go shopping together to buy essentials for the cat, Daria in control of the situation and in complete disregard for James. â€Å"I watched Daria march up and down the aisles seeking out kitty litter and the biggest cat pan they had†¦Ã¢â‚¬â„¢I’ve only got ten bucks,’ I said†¦she reached back to slip the band of her ponytail so that her hair fell glistening across her shoulders, a storm of hair, fluid and loose, the ends trailing down her back like liquid in motion. She tossed her head impatiently. ‘You do have a credit card, don’t you? ’† Daria is subtly flirting with James; she is leading him on again so that she will get what she wants. She does not care whether he has any money; she is so interested and curious about the animal that she will do anything to get what she wants. The next two days Daria stays at James’s house and they occasionally talk and have long conversations but becomes clear that she is only there for the concern and interest in the cat. The first day she leaves and says â€Å"Take care of our cat now, O. K.? † It seems as though she is implying that they are together and the cat is both of theirs. This seems to confuse James, he doesn’t know exactly what she meant by that. Replying to this he shows another falsehood by not showing exactly how he feels, â€Å"I shrugged in a helpless, submissive way, the pain of her leaving as acute as anything I’d ever felt. ‘Sure,’ I said. † She then pulls him in for a kiss and calls him â€Å"sweet. Every time she enters the apartment she goes right to the cat and every time she wakes up she immediately says â€Å"We have to feed the cat. † Soon Daria’s ride is over, her interest is lost in the cat and in James (if there was any real interest to begin with) and so is her curiosity. She soon figures out James’s real personality, how he is basically a loser and whatever interest she may have had with him, has been lost. After she has spent the last three days with him she ends up telling him that she has a boyfriend and that she doesn’t want to give him the wrong â€Å"impression. Whether she realizes it or not she leads him on this entire time and already did give him the wrong impression, she was falsely identifying herself and her actions towards James. James does not know what to do with himself after what Daria informs him. He formed a dependence on her, â€Å"I felt lost without her. † He becomes angry and hostile with the manager at â€Å"Daggets,† his boss, and himself. After he is asked to leave the bar for drinking too much and insulting the bartender, James faces the cat and essentially attempts to commit suicide. He goes back to his apartment, â€Å"Pulled open the door, and slipped inside. And then—and I don’t know why—I pulled the door shut behind me. † Every character in this story misrepresents themselves in one way or another with the way they act towards each other and with what they have people believe. Even the giant African cat misrepresents itself, it does not belong in a bar, nor does it belong in an apartment. The characters in this story hide behind masks, physically or theoretically all to gain something or to hide something.
